SAN FRANCISCO — Nebius announced on Tuesday that it will acquire Eigen AI for $643 million in a combined cash and stock transaction designed to expand its cloud platform capabilities across global markets. The definitive corporate deal brings specialized researchers from the Massachusetts Institute of Technology directly into the corporate structure to work specifically on machine learning inference and advanced model optimization.

Nebius stated that the costly buyout specifically targets the technical talent at Eigen AI, a firm which focuses entirely on speeding up artificial intelligence deployment for major corporate clients. The Massachusetts Institute of Technology roots of the acquired engineering team will form the primary core of the brand new technical division, according to the official corporate filing released on Tuesday.

Eigen AI brings specialized proprietary software designed explicitly to reduce the massive computing power required for running large language models, the company said in a public statement. Chief executive officers representing both individual firms signed the definitive corporate agreement on Monday, committing formally to retain all 45 current software engineers through the complete transition phase ending in Q4 2026.

The Bay Area engineering hub will officially open its doors on Oct. 1, 2025, housing both the legacy Nebius staff and the newly absorbed Eigen AI personnel under one corporate roof. Real estate brokers familiar with the private transaction said that the brand new facility will occupy exactly 15,000 square feet of prime office space located directly in downtown San Francisco.

Nebius confirmed that the multi-million-dollar transaction remains subject to customary closing conditions and strict regulatory approval from the Department of Justice before the final corporate integration deadline of Dec. 31, 2025. Competitors operating in the competitive cloud infrastructure sector declined entirely to comment on the financial terms of the buyout agreement filed this week.
