Rogers Corporation Announces Leadership Changes for Board of Directors

Rogers Corporation, a prominent player in engineered materials, has officially announced significant changes within its Board of Directors. As part of a planned transition, Peter Wallace, the current Chair, has decided not to seek re-election during the upcoming Annual Meeting of Shareholders in 2026. This announcement comes as a strategic measure to ensure a seamless leadership handover. In light of this development, the Board has appointed Armand Lauzon, who has served as a member since 2023, to take over as Chair immediately.

Peter Wallace has been an integral part of the Board since June 2010 and has held the position of Chair or Lead Director since 2019. He expressed that after 15 years of commitment to the Board, it is time for him to focus on other commitments and personal interests. Wallace stated that by announcing his decision early, it allows for an adequate transition period for his successor. He conveyed confidence in the company’s future, highlighting its strong management team, a clear strategic vision, and a skilled Board.

Armand Lauzon, who brings over four decades of experience in leading industrial and manufacturing companies, will now guide the Board through this critical phase. Previously, Lauzon served as CEO for notable firms, including C&D Technologies and various companies within the Carlyle Group‘s portfolio. His extensive expertise in governance, operations, and strategic development is expected to be vital for Rogers Corporation as it seeks to enhance its operational efficiency and growth trajectory. Lauzon remarked on the honor of stepping into this role and expressed confidence in the Board’s refined strategic priorities that focus on agility and sustainable growth.

In addition to the leadership change, Rogers plans to appoint a new independent director. The recruitment process for this position is currently underway and will involve collaboration with Starboard Value LP, a significant investor in the company. Peter Feld, managing member of Starboard Value, acknowledged the positive steps taken by the Board to strengthen its composition and conveyed satisfaction with the appointment of Lauzon as Chair. He noted the firm’s belief in Rogers’ potential for improved performance and the critical role its products play in a technologically advancing world.

As this transition unfolds, Starboard Value has confirmed it will not put forward any nominations for the 2026 Annual Meeting, signaling a collaborative approach moving forward. The legal advisory for this transition is being handled by Sidley Austin LLP.
