Future Fuels Inc. (TSXV:FTUR, OTCQB:FTURF, FWB:S0J), a critical minerals exploration company, announced plans for a non-brokered private placement to raise up to C$2.25 million. This offering, called the LIFE Offering, involves the sale of up to 3,000,000 flow-through units at C$0.75 per unit. Each unit includes a flow-through common share and a warrant to purchase another share at C$0.80 within 24 months.
The company expects the offering to close around September 23, 2025, or within 45 days of the announcement. The funds will be used to cover Canadian exploration expenses related to its critical mineral projects, in accordance with the Income Tax Act (Canada). The offering is available to investors in all Canadian provinces except Quebec, under the listed issuer financing exemption. Investors should review the offering document before investing. The company may pay finder’s fees.
Future Fuels also reported entering into two marketing agreements. The company renewed its contract with MCS Market Communication Service GmbH (MCS) for an additional 60 days. This agreement, worth €155,000 plus a 16% agency fee, covers investor relations services. MCS, based in Monheim am Rhein, Germany, will provide online and social media marketing support.
Separately, the company engaged Rumble Strip Media Inc. (Rumble Strip) for a 35-day term starting September 15, 2025, for a fee of C$250,000. Rumble Strip, located in Vancouver, BC, will also deliver investor relations services, including online marketing and advertising campaign management. Both MCS and Rumble Strip are independent of Future Fuels and hold no interest in the company’s securities.
The company clarified that the securities offered are not registered under the United States Securities Act of 1933 and cannot be offered or sold in the United States without registration or an exemption.
Future Fuels‘ main asset is the Hornby Uranium Project in Nunavut, encompassing a large area with numerous uranium showings. The company also holds the Covette Property in Quebec.
