Major Stake Transfer in Coca-Cola Beverages Africa
In a significant move within the beverage industry, The Coca-Cola Company and Gutsche Family Investments (GFI) have reached an agreement to sell a 75% controlling interest in Coca-Cola Beverages Africa Pty. Ltd. (CCBA) to Coca-Cola HBC AG. This transaction, announced on October 21, 2025, marks a pivotal moment as CCBA stands as the largest Coca-Cola bottler on the African continent, operating in 14 countries and accounting for approximately 40% of all Coca-Cola products sold across Africa.
The deal involves Coca-Cola divesting 41.52% of its 66.52% stake in CCBA, while Coca-Cola HBC will also acquire the remaining 33.48% held by GFI. The entire transaction values CCBA at an equity worth of about $3.4 billion. Anticipated to close by the end of 2026, this agreement also includes an option for Coca-Cola HBC to acquire the remaining 25% of CCBA still owned by Coca-Cola within a six-year timeframe after the initial closing.
Strategic Refranchising Initiative
This sale is indicative of Coca-Cola’s ongoing strategy to refranchise its bottling operations. Over recent years, the company has significantly reduced its bottling investments as a percentage of consolidated net revenue, dropping from 52% in 2015 to 13% in 2024. Following this transaction, it is expected that bottling investments will account for only about 5% of the company’s consolidated net revenue.
Earlier in July 2025, Coca-Cola took a similar step by selling a 40% ownership stake in Hindustan Coca-Cola Beverages Pvt. Ltd. to Jubilant Bhartia Group, while retaining a 60% stake in the Indian bottler. According to Henrique Braun, the executive vice president and chief operating officer of Coca-Cola, the collaboration with Coca-Cola HBC is seen as a vital move towards fostering growth for CCBA and enhancing the Coca-Cola system’s presence in Africa.
Gutsche Family’s Continued Role
Even after the sale, the Gutsche family will maintain an active role in the Coca-Cola ecosystem, thanks to their ownership stake in Coca-Cola HBC. Philipp Hugo Gutsche, Chairman of GFI, remarked on the long-standing dedication of his family to the Coca-Cola business across Southern and Eastern Africa. He believes that Coca-Cola HBC is well-positioned to advance CCBA’s operations and realize a shared vision for the Coca-Cola system on the continent.
Following the acquisition’s completion, Coca-Cola HBC will control two-thirds of Africa’s Coca-Cola system volume, extending its reach to over half of the continent’s population. This strategic move not only reinforces Coca-Cola HBC’s commitment to growth in Africa but also creates opportunities for sharing best practices and driving sustainable growth within CCBA.
Future Outlook and Regulatory Approval
The acquisition is subject to customary regulatory and antitrust approvals, with Coca-Cola HBC also planning a secondary listing on the Johannesburg Stock Exchange as part of its commitment to South Africa and the broader African market. Financial advisement for Coca-Cola was provided by Rothschild & Co, while Goldman Sachs Bank Europe SE and UBS AG advised Coca-Cola HBC. GFI was solely advised by Nomura International.
