Avolon Announces $1.25 Billion Note Offering

Avolon, a global aviation finance company, priced a private offering of $1.25 billion in senior unsecured notes due 2032. The notes are guaranteed by Avolon and certain subsidiaries, with proceeds primarily intended for debt repurchases. The offering is expected to close around September 11, 2025.

Avolon Holdings Limited, a leading global aviation finance company, has announced the pricing of a private offering of senior unsecured notes. The offering, conducted by its wholly-owned subsidiary, Avolon Holdings Funding Limited, involves $1.25 billion in 4.950% senior unsecured notes maturing in 2032.

These notes will be fully guaranteed by Avolon and some of its subsidiaries. The company anticipates the offering will close on or about September 11, 2025, pending standard closing procedures.

The primary use of the net proceeds from this note offering is to repurchase debt securities. This is in line with previously announced cash tender offers by AHFL to acquire specific previously issued notes. Any remaining proceeds, after debt repurchases and related expenses, will be used for general corporate purposes, possibly including future debt repayment.

The notes will not be registered under the U.S. Securities Act of 1933 or state securities laws. Therefore, they will only be offered and sold to qualified institutional buyers in the United States under Rule 144A, and outside the United States under Regulation S.
