E3 Lithium Sells Saskatchewan Assets to Fund Clearwater Project

E3 Lithium Ltd. has signed a deal to sell its non-core assets in Saskatchewan for $4.296 million to support its Clearwater Project development.

E3 Lithium Ltd. (TSXV: ETL) has officially entered into an Asset Purchase and Sale Agreement with a private company to divest its non-core assets located in the Estevan Lithium District, Saskatchewan. The transaction, valued at approximately US$4.296 million (or C$6.0 million at current exchange rates), aims to bolster E3 Lithium’s financial standing and facilitate the ongoing development of its flagship project, Clearwater, situated in Alberta’s Bashaw District.

### Strategic Shift Towards Clearwater Project

While the long-term potential of the Estevan lithium district is acknowledged by the company, its immediate focus is on progressing the Clearwater Project. The decision to sell these non-essential assets is part of a strategic initiative to enhance E3 Lithium’s balance sheet, which will, in turn, support the active advancement of Clearwater. The president and CEO of E3 Lithium, Chris Doornbos, emphasized the importance of this transaction, indicating that monetizing the Saskatchewan assets will unlock significant value that can be directed towards Clearwater’s development. He noted that the proceeds will be instrumental in reaching a final investment decision for the project.

### Transaction Details and Expectations

The sale is anticipated to close in late Q4 of 2025, contingent upon customary closing conditions. This includes securing third-party consents and completing satisfactory regulatory, surface impediment, and environmental due diligence by the purchaser. The transaction is positioned to strengthen E3 Lithium’s operational capabilities during a pivotal stage of its growth.

E3 Lithium is recognized as a leading development company, boasting a substantial lithium resource base of 21.2 million tonnes of lithium carbonate equivalent (LCE) in Alberta and additional resources in Saskatchewan. The Clearwater Project, according to its Pre-Feasibility Study, has demonstrated promising economic metrics, including a pre-tax net present value of USD 5.2 billion.

### Future Outlook and Market Context

E3 Lithium’s strategy aligns with broader trends in the lithium market, where demand continues to rise in tandem with the global push towards sustainable energy solutions. The company remains committed to enhancing its resource portfolio while navigating the complexities of mineral exploration and development. As it moves forward, E3 Lithium will focus on fulfilling the necessary conditions for the transaction and ensuring the Clearwater Project’s success, which is crucial for establishing a solid foothold in the growing lithium production sector.

In summary, E3 Lithium’s decision to sell its non-core Saskatchewan assets is a calculated move aimed at reinforcing its financial foundation and propelling the development of its Clearwater Project, ultimately positioning the company for future growth within the lithium industry.
